RBE ELECTRONICS, INC. TERMS AND CONDITIONS OF SALE

(All quotations are made and purchase orders accepted on the following terms and conditions)

To process your order as quickly as possible, please complete the order form with all the necessary information.

MINIMUM ORDERS/PRICES

Certain products may require minimum orders. The prices shown are based on US funds and are subject to change without notice. Foreign Exchange rates will be applied at the time of shipment.

PAYMENT TERMS

Check or Money Order (No Cash or COD's Please), Visa, or MasterCard.

Credit card orders will be billed at the time of shipment.

Established - Approved Volume Customers (Net 30 Days with Credit Application Approval). To establish an account please fax three credit references. Confirmation will be sent to you once an account has been established with RBE.

Orders will be charged all applicable taxes unless tax exempt certification is provided.

SHIPPING/HANDLING/PACKING

Call for international shipping rates. All products will be shipped F.O.B. Aberdeen, SD via UPS Ground unless customer specifies otherwise. Quoted delivery dates will be our best estimates, and we assume no liability for delays. Please allow a minimum of 6-8 weeks for special manufactured items. Some orders may be shipped direct from other manufacturing locations. If the customer specifically requests that on hand items be shipped ahead of the rest of the order, any charges for extra shipping costs will be applied. International orders will be charged appropriate duties and custom fees.

INSPECTION

Buyer shall inspect product promptly after receipt. Seller shall be notified of any claims in writing within 30 days. Failure of the Buyer to give written notice of a claim within the 30 day time period shall be deemed to be a waiver of such claim.

WARRANTY

We warrant that our products shall be free from defects in material and workmanship for a period of one year from the date of shipment thereof or its total rated life, whichever first occurs. ONLY PRODUCTS RETURNED WITH AN APPROVED RETURN MERCHANDISE AUTHORIZATION NUMBER (Call RBE to obtain) will be accepted. Within the warranty period we shall repair or replace such products which are returned to us with shipping charges prepaid and which are determined by us to be defective. This warranty will not apply to any product which has been subjected to misuse, negligence, or accident; or misapplied; or modified or repaired by unauthorized persons; or improperly installed.

DISCLAIMER

The provisions of our warranty shall be our sole obligation and exclude all other remedies or warranties, express or implied, including warranties of MERCHANTABILITY and FITNESS FOR A PARTICULAR PURPOSE, whether or not purposes or specifications are described herein. We further disclaim any responsibility whatsoever to the customer or to any other person for injury to person or damage to or loss of property or value caused by any product which has been subject to misuse, negligence, or accident; or misapplied; or modified or repaired by unauthorized persons; or improperly installed. These terms/conditions give you specific legal rights. You may also have other rights which vary from state to state.

LIMITATION OF LIABILITY/ACTIONS

Under no circumstances shall the company be liable for any incidental, consequential or special damages, losses or expenses arising from this contract or its performance or in connection with the use of, or inability to use, our product for any purpose whatsoever. No action regardless of form arising out of this contract may be commenced more than one year after the cause of action has accrued, except an action for nonpayment.

CONTRACT/LARGE QUANTITY ORDERS, APPROVED CREDIT CUSTOMERS, SPECIAL PRODUCTS

OEM large quantity, contract, split delivery orders, special products, modified products from this catalog, products considering (design-development-patents-proprietary information, etc.), will be governed by our more detailed terms and conditions. CHANGES/TERMINATION OF PURCHASE

You may cancel or change this order, in whole or part, upon written notice to us and upon payment of and no limitation to cancellation charges covering our unrecoverable costs in manufacturing or procuring items for your order.
